Welcome to Brand Your Audio ("BYA," "we," "us," or "our"). These Terms & Conditions and Service Policies ("Terms") govern your use of the Brand Your Audio website, customer portal, audio branding services, subscriptions, audio production services, and related services.

By creating a Brand Your Audio account or using our services, you agree to these Terms.

If you do not agree to these Terms, you may not create an account or use the services.

1. Service Description

Brand Your Audio provides professionally managed audio branding services for businesses and organizations.

Our services may include:

2. Customer Account

To use Brand Your Audio services, you must create a customer account and provide accurate and current information.

3. Terms Acceptance

When creating a Brand Your Audio account, the customer must confirm acceptance of these Terms and the applicable Service Policies.

4. Subscription Plans

Brand Your Audio may offer different subscription plans.

Subscription plans, prices, included services, production allowances, and service limitations may change from time to time.

The services available to the customer are determined by the customer's active subscription plan.

Customers may upgrade or change their subscription where such options are available.

Corporate, franchise, and multi-location customers may be subject to separate custom pricing and service agreements.

5. Subscription Plans and Private Business Channels

$29 Starter Business Audio

The $29 monthly subscription provides a personalized business audio environment designed for businesses seeking a professional branded audio experience at an accessible monthly price.

The $29 Starter Business Audio subscription may include:

The $29 Starter Business Audio subscription is personalized and advertising-free. No third-party advertisements or sponsored messages will be included. This subscription does not provide a private channel dedicated exclusively to the customer's business.

$75 Private Business Channel

The $75 monthly subscription provides a completely private business audio channel dedicated to the customer's business.

The $75 Private Business Channel may include:

$175 Premium Private Channel

The $175 monthly subscription provides a premium private business audio experience for businesses seeking higher audio quality, expanded audio library capacity, and priority service.

The $175 Premium Private Channel may include:

Corporate and Multi-Location Services

Corporate, franchise, and multi-location customers may be offered customized service arrangements based on location count, production volume, audio requirements, centralized management needs, and operational requirements.

Custom arrangements may include custom pricing, custom audio limits, expanded audio library capacity, centralized audio management, custom scheduling, brand consistency controls, and specialized support.

6. Additional Audio Production

Customers may request additional audio production where such services are available. Production requests are subject to Brand Your Audio's production workflow, review, approval, and applicable service limitations.

Standard Paid Audio Production

The standard price for a 60-second store-related audio production is:

Brand Your Audio may offer a limited-time introductory production price of:

$25 per 60-second audio production.

The limited-time $25 introductory offer is available for the first 100 qualifying audio productions only. After the introductory offer ends, the standard production price may apply.

Standard production may include:

Typical production delivery for standard store-related audio may be within 48 hours. Actual delivery times may vary depending on the complexity of the request, production approval, required revisions, and other circumstances.

Premium Commercial Production

Premium Commercial Production is available at:

$100 for a 60-second Promotional Commercial and $200 for a 120-second Professional Commercial.

Premium Commercial Production may include professional commercial scripting, professional voice production, music selection, professional editing and mixing, commercial-style production, and final audio delivery.

Premium Commercial Production may require additional production time depending on the complexity of the request and required review.

7. Subscription Production Allowances

Certain subscription plans may include or permit audio production requests subject to the applicable subscription plan and service limitations. Production allowances, if applicable, are determined by the customer's active subscription plan.

Additional production charges may apply where production is not included in the customer's subscription or where the requested production exceeds applicable subscription allowances.

8. Audio Library Management

To maintain a manageable and effective audio environment, Brand Your Audio may limit the number of audio productions stored in a customer's account.

A customer account may maintain a maximum of 48 audio productions in its audio library.

When the maximum library limit has been reached, the customer may be required to disable or remove an existing audio production before requesting or generating another production.

Customers may be able to:

Disabling an audio production does not necessarily delete the audio file.

Brand Your Audio may retain disabled audio according to its storage and data retention policies.

Customers are responsible for managing their audio library and maintaining an appropriate selection of active content.

9. Audio Scheduling and Playback

Brand Your Audio services are designed to provide a continuous business audio experience.

Unless otherwise specified by the applicable subscription or service agreement, audio services may operate on a 24/7 basis.

Brand Your Audio may manage the playback schedule, rotation, and frequency of audio content to maintain a balanced customer experience.

The frequency at which a particular audio message plays may vary depending on:

Brand Your Audio does not guarantee a specific number of plays for a particular audio production unless a separate written agreement explicitly provides such a guarantee.

10. Customer Content and Production Requests

Customers may submit information and instructions required to create audio content.

Customers are responsible for ensuring that information submitted to Brand Your Audio is accurate and lawful.

Customers must not submit requests that:

Brand Your Audio may request clarification before beginning production.

11. Production Approval and Customer-Directed Production

Brand Your Audio may review submitted production requests before production begins.

Customers provide the prompts, instructions, business information, and creative preferences used to guide the requested audio production. By submitting a production request, the customer authorizes Brand Your Audio to create the requested audio based on the information and direction provided by the customer.

Brand Your Audio may approve, modify, delay, or reject a production request when necessary to:

Once a production request has been accepted for production and the audio has been created and approved through Brand Your Audio's internal production process, the completed audio may be added to the customer's audio library and scheduled for playback without requiring separate customer pre-approval before playback.

The customer acknowledges that production is based on the prompts, instructions, and creative preferences submitted by the customer. The customer is not required to provide separate approval of each completed production before it is placed into the customer's audio experience.

Customers may hear completed audio during normal playback and may contact Brand Your Audio regarding a genuine production issue, technical problem, or material error. Any request to substantially change, recreate, or revise completed audio because of a change in preference, a change of mind, or a change to the original creative direction may be treated as a new production request or revision and may be subject to additional production charges or applicable production limits.

Brand Your Audio does not guarantee that completed audio will be revised or recreated solely because a customer later changes their creative preference or no longer prefers the direction originally submitted.

12. No Customer Audio Uploads

Brand Your Audio may restrict customers from directly uploading audio files, music, commercials, or other audio content to the platform.

Where applicable, audio content is created, processed, reviewed, and managed through Brand Your Audio's production workflow.

This policy is intended to maintain audio quality, consistency, technical compatibility, and brand safety.

13. Music, Audio Service, and Customer License

Brand Your Audio may source, generate, produce, curate, process, review, and manage music and audio through authorized production methods and third-party services, including AI-assisted production tools, subject to applicable provider terms.

During an active paid subscription, Brand Your Audio grants the customer a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and play approved audio delivered through the Brand Your Audio service at the customer’s authorized registered business location or locations, subject to these Terms and the customer’s selected service plan.

A Brand Your Audio subscription is a service-access license. It does not sell, assign, or transfer ownership of the Brand Your Audio platform, shared catalog, production systems, master files, or any underlying intellectual property. Catalog music may be shared across multiple customers and business channels.

Custom welcome messages, promotions, commercials, and other requested productions may be created in response to customer instructions and business requirements. Production may involve automated tools, AI-assisted systems, templates, and shared production elements. Unless Brand Your Audio expressly agrees otherwise in a separate written agreement, custom production is not guaranteed to be exclusive, unique, or eligible for copyright registration, and similar output may be created for or received by others.

Brand Your Audio does not provide legal advice and does not guarantee that no third party will ever assert a claim concerning generated, produced, or delivered content. Brand Your Audio may screen, review, replace, suspend, disable, or remove audio when necessary to address quality, operational, provider, legal, intellectual-property, or policy concerns.

Customers are responsible for ensuring that all business names, trademarks, slogans, scripts, claims, voices, recordings, logos, and other materials they provide or request are accurate, lawful, and authorized for the requested use.

Customers may not copy, download, redistribute, resell, sublicense, publish independently, or use BYA-delivered audio outside the authorized Brand Your Audio service unless separate written permission expressly allows that use.

14. Commercial Claims and Advertising Responsibility

Customers are responsible for the accuracy of claims made in promotional or commercial audio content requested for their business.

Customers should not request false, misleading, deceptive, or unsupported advertising claims.

Brand Your Audio may reject or require changes to promotional content that creates legal or compliance concerns.

The customer remains responsible for the legality and accuracy of business-specific claims provided by the customer.

15. Taxes and Payment Processing Fees

Subscription prices and production charges may be subject to applicable taxes.

Payment processing fees or other applicable transaction-related charges may also apply where permitted.

The customer is responsible for applicable taxes and charges associated with their purchases.

16. Billing, Recurring Subscriptions, and Cancellation

Subscription services are billed on a recurring basis according to the customer's selected billing schedule. By starting a subscription, the customer authorizes Brand Your Audio or its designated payment provider to charge the applicable subscription fees, taxes, and authorized service charges until the subscription is cancelled.

Unless Brand Your Audio and the customer enter into a separate written agreement, subscriptions are provided on a month-to-month basis without a long-term contract or service lock-in.

Customers may cancel their subscription through the cancellation process provided by Brand Your Audio. Cancellation stops future recurring subscription charges after the applicable cancellation date. Unless otherwise stated in a separate written agreement, service may continue through the end of the current paid billing period.

Cancellation does not automatically provide a refund for an activated billing period, completed services, setup work, custom production already started, or unused time remaining in the current billing period, except where required by applicable law.

If a payment fails, Brand Your Audio may restrict or suspend services until payment is successfully completed.

17. Trial Policy

Brand Your Audio does not currently offer free trials.

If a trial or promotional access period is offered in the future, it will be governed by separate published terms.

18. Refund, Service Credit, and Production Policy

A subscription is considered active when the customer's account and audio service have been provisioned and made available for use. Subscription payments are generally non-refundable after service activation, except where required by applicable law or expressly approved by Brand Your Audio in writing.

Welcome messages, promotions, commercials, announcements, and other customer-specific audio productions require production resources. Once a customer submits or authorizes a production request and Brand Your Audio begins production, the related setup or production charges are non-refundable. If production of a Welcome Message has started, the applicable setup and production charges are non-refundable except where required by law.

Customers should promptly report service problems through an official Brand Your Audio support channel. Brand Your Audio will investigate and make reasonable efforts to correct confirmed service issues.

When a significant service failure has been escalated, verified, and remains unresolved, Brand Your Audio may, at its discretion, provide a prorated service credit or refund for the verified affected period. This provision does not guarantee a refund and does not limit any rights available under applicable law.

Customers should review their selected plan terms, service features, production charges, and pricing before completing payment.

19. Promotional Pricing Policy

Brand Your Audio does not routinely offer promotional pricing.

If promotional pricing is offered in the future, it will be subject to separate eligibility requirements and published terms.

20. Active Paid Subscription Requirement

Brand Your Audio may require an active paid subscription before beginning customer-specific audio production.

Customers may not receive custom audio production before an applicable paid subscription has been activated, unless Brand Your Audio expressly agrees otherwise in writing.

21. Multi-Location and Corporate Accounts

Businesses operating multiple locations, franchises, or corporate networks may require custom service arrangements.

Custom arrangements may include:

Large franchise and corporate customers may receive customized proposals based on location count, service requirements, production volume, and operational needs.

22. Account Suspension and Termination

Brand Your Audio may suspend or terminate an account if:

Upon termination, access to services may be discontinued.

Certain customer information may be retained where required by law, accounting requirements, security requirements, or legitimate business purposes.

23. Service Availability

Brand Your Audio strives to provide reliable services but does not guarantee uninterrupted or error-free operation.

Services may occasionally be unavailable due to:

Brand Your Audio will make reasonable efforts to restore service when disruptions occur.

24. Audio Quality and Playback

Audio quality may depend on:

Brand Your Audio is not responsible for audio problems caused by customer-owned equipment, unsupported configurations, or third-party infrastructure outside its control.

25. Intellectual Property

Brand Your Audio and its licensors retain the respective rights they hold in the Brand Your Audio software, platform, website, branding, designs, technology, production systems, templates, catalog materials, and other proprietary components. Nothing in these Terms claims ownership of material that belongs to a customer or another third party.

Except for the limited subscription license expressly provided in Section 13, customers receive no ownership interest in Brand Your Audio’s platform, catalog, master files, production systems, or proprietary technology.

Customers may not copy, reproduce, modify, reverse engineer, distribute, resell, sublicense, or commercially exploit Brand Your Audio’s platform, catalog, master files, or proprietary technology without separate written permission.

Customer-provided trademarks, logos, business names, scripts, and other materials remain the property of the customer or their respective owners. The customer grants Brand Your Audio a limited permission to use those materials only as reasonably necessary to provide the requested service.

26. Privacy

Brand Your Audio may collect and process information necessary to provide services, manage customer accounts, process payments, communicate with customers, and operate the platform.

Brand Your Audio will handle personal information according to its applicable Privacy Policy.

Customers should review the Privacy Policy for additional information regarding data collection and use.

27. Third-Party and AI-Assisted Services

Brand Your Audio may rely on third-party and AI-assisted services for functions including payment processing, email delivery, cloud infrastructure, audio generation, audio processing, streaming, hosting, analytics, authentication, and communication.

Third-party services and AI-assisted tools are governed by their own availability, technical limitations, provider terms, and policies. Generated or processed output may contain errors, variations, similarities, or characteristics outside Brand Your Audio’s direct control.

Brand Your Audio is not responsible for interruptions, failures, provider decisions, model changes, or output characteristics caused solely by third-party services outside Brand Your Audio’s reasonable control. Brand Your Audio may change providers, production methods, models, or technical components when reasonably necessary to operate, protect, or improve the service.

28. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Brand Your Audio service, platform, catalog, streams, and productions are provided on an “as available” basis. Brand Your Audio does not warrant that the service will always be uninterrupted, error-free, compatible with every device, or available at every location or time.

Unless expressly stated in a separate written agreement signed by Brand Your Audio, Brand Your Audio does not warrant that AI-assisted, automated, generated, or third-party-processed output will be exclusive, unique, eligible for copyright registration, or entirely free from possible third-party claims.

Brand Your Audio does not provide legal, copyright, licensing, advertising, regulatory, or compliance advice. Customers are responsible for obtaining independent professional advice when their business, location, content, or intended use requires it.

29. Limitation of Liability

To the maximum extent permitted by applicable law, Brand Your Audio and its owners, officers, employees, contractors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, reputational harm, loss of data, business interruption, or replacement-service costs arising from or related to the services.

To the maximum extent permitted by applicable law, Brand Your Audio’s aggregate liability for all claims arising from or related to a subscription will not exceed the subscription fees actually paid by the customer to Brand Your Audio during the six months immediately preceding the event giving rise to the claim.

For a claim relating solely to a separately purchased one-time production, Brand Your Audio’s aggregate liability will not exceed the amount actually paid to Brand Your Audio for that specific production. The limitations in this section apply collectively to all claims and legal theories.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Some jurisdictions may not allow certain exclusions or limitations, in which case those provisions apply only to the maximum extent permitted by applicable law.

30. Customer Responsibility and Indemnification

Customers are responsible for their account activity, business information, payment obligations, equipment, network connection, authorized locations, use of the service, and compliance with applicable laws and these Terms.

Customers represent that they have the necessary rights, permissions, consents, and authority for every business name, trademark, logo, script, slogan, advertising claim, voice, recording, instruction, reference, and other material they submit, request, or direct Brand Your Audio to use.

To the maximum extent permitted by applicable law, the customer agrees to defend, indemnify, and hold harmless Brand Your Audio and its owners, officers, employees, contractors, and service providers from third-party claims, damages, liabilities, penalties, judgments, and reasonable legal costs arising from:

Brand Your Audio will provide reasonable notice of a covered claim when practicable. The customer may not settle a claim in a manner that admits liability by Brand Your Audio or imposes obligations on Brand Your Audio without Brand Your Audio’s prior written consent.

31. Rights Complaints and Content Mitigation

Brand Your Audio may investigate notices or concerns involving copyright, trademark, publicity, privacy, provider terms, unlawful content, or other third-party rights. Brand Your Audio may temporarily or permanently suspend, replace, disable, or remove affected content while a concern is reviewed.

Customers must promptly stop any affected use when instructed by Brand Your Audio and reasonably cooperate with mitigation, replacement, or investigation steps. Removal, replacement, suspension, or investigation does not constitute an admission of infringement, fault, or liability.

Where reasonably appropriate, Brand Your Audio may replace affected audio with alternative service content. Unless required by applicable law or separately agreed in writing, the customer’s remedy for affected catalog content is limited to reasonable mitigation, replacement, or service adjustment determined under these Terms.

32. Changes to These Terms

Brand Your Audio may update these Terms from time to time. When material changes are made, Brand Your Audio may provide notice through the website, customer portal, email, or other reasonable communication methods.

The updated Terms will identify the applicable effective date or version. Continued use of the services after an applicable update may constitute acceptance where permitted by law. Brand Your Audio may require renewed affirmative acceptance of material changes.

33. Governing Law and Venue

These Terms and disputes arising from or related to the Brand Your Audio services will be governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Subject to any mandatory legal requirements, the parties consent to the exclusive jurisdiction and venue of the state and federal courts serving Fort Bend County, Texas. Each party retains any rights or remedies that cannot lawfully be waived.
